# Can Brokers Become Authorised Representatives?

A broker with a strong client book, a defined niche and a clear appetite for business development may be ready for a different platform. The question, can brokers become authorised representatives, is therefore more than a licensing query. It is a decision about control, compliance support, economics and the kind of business the broker wants to build.

For the right operator, an authorised representative arrangement can create a credible route to market without the cost and responsibility of holding an Australian Financial Services Licence (AFSL) independently. It can also be the wrong move where the authorised representative model does not provide sufficient autonomy, underwriting access or alignment on ownership.

## Can brokers become authorised representatives under an AFSL?

Yes. A broker can be appointed as an authorised representative of an AFSL holder, provided the licence holder is willing to appoint them and is satisfied that they meet its competence, training, conduct and compliance requirements. In general insurance, this is a well-established pathway for individual brokers and broking businesses seeking to provide financial services under an existing licence.

The AFSL holder remains responsible for the financial services conducted under its licence. That is the central commercial and regulatory reality of the arrangement. The licence holder will determine what services, products, insurers and client segments the authorised representative may deal with, as well as the reporting, professional indemnity and audit expectations that apply.

An individual may be appointed as an authorised representative, or a company may operate as a corporate authorised representative. The appropriate structure depends on the broker's business plan. A salaried broker moving into a new distribution platform may suit an individual appointment. A broker with staff, an established trading entity or ambitions to build enterprise value will usually need to consider a corporate structure more carefully.

## Why the model appeals to experienced brokers

The authorised representative model can reduce the barriers between a broker's commercial capability and operating their own client proposition. Establishing and maintaining an AFSL requires substantial governance, compliance capability, responsible manager coverage, risk frameworks, record keeping and ongoing regulatory oversight. Those obligations can be disproportionate for a capable broker at an early stage of business ownership.

Working under an established licence holder can provide access to a recognised brand, insurer agency relationships, policy administration support, compliance resources and professional indemnity arrangements. In a market where insurer access and specialist placement capability matter, those assets can be as valuable as the licence itself.

It can also allow a broker to direct more time towards revenue-producing work: retaining key clients, developing referral relationships and building a distinctive market specialisation. For example, a broker with credibility in construction, transport, professional risks or a particular regional market may be able to build a focused portfolio faster with an established licence holder behind them.

The benefit is not simply administrative convenience. A good arrangement provides commercial infrastructure without diluting the broker's ability to serve clients well.

## The trade-off: independence has boundaries

An authorised representative is not an independent AFSL holder. The licence holder must supervise the activity conducted under its licence, and that will involve rules. These may cover approved insurers, premium funding, disclosure documents, complaints handling, file reviews, remuneration, marketing, cyber security and the use of sub-brokers or referral partners.

That oversight is appropriate, but the degree of control varies markedly between licence holders. Some authorised representative models are designed for entrepreneurial brokers who want meaningful operational independence within a strong governance framework. Others look more like a [network distribution model](https://hookerheijden.com.au/insights/broker-network-vs-authorised-representative), with tighter requirements around systems, brand, insurer placement and client ownership.

Before signing, brokers should be clear on several commercial points: who owns the client relationship and renewal rights; how commission and fees are shared; whether there are minimum revenue expectations; what support is actually included; and what happens to the portfolio if the arrangement ends. Restraints, run-off obligations, access to data and the treatment of pipeline opportunities can become significant issues if they are not addressed early.

The arrangement should also be tested against the broker's intended growth path. A model that works well for a sole operator placing SME commercial business may not work for a team seeking to acquire another book, recruit senior producers or establish a specialist underwriting proposition.

## Assessing whether you are ready

The question is not only whether a licence holder can appoint you. It is whether you have a proposition that warrants the appointment.

A credible authorised representative candidate will normally bring demonstrated broking experience, sound technical knowledge, an established or developing client base, and an ability to operate within documented processes. Licence holders will look for evidence of professional conduct as closely as they assess revenue potential. Poor file discipline, unresolved compliance issues or a vague business plan will quickly undermine an otherwise attractive proposition.

For brokers leaving an employed role, client movement requires particular care. Employment contracts, confidentiality obligations, restraint provisions and client ownership arrangements should be properly understood. The fact that clients value a broker personally does not automatically mean their business can be solicited or transferred.

The financial position also matters. An authorised representative arrangement may lower the capital and administrative burden of running a licensed business, but it does not remove the need for working capital. There may be upfront technology costs, rent, support staff, travel, marketing and a delay between writing business and receiving income. A realistic cash-flow forecast is more useful than an optimistic revenue projection.

## Questions to ask a prospective AFSL holder

The best discussions go beyond headline commission splits. A broker should understand whether the licence holder has genuine appetite for their class of business and whether its insurer relationships support the intended client base. An impressive panel is not useful if it does not respond competitively in the broker's niche.

Ask how compliance works in practice. Who reviews files? What training is mandatory? How are incidents and complaints managed? What technology is required, and can the broker access meaningful management information? The answers reveal whether the licence holder operates a disciplined, commercially workable platform or simply offers a licence with limited operational support.

It is equally sensible to ask about growth. Can the authorised representative hire staff? Are there approvals for acquiring a book? Can the business operate under its own trading name? The right answer depends on the broker's objectives, but the question should be asked before momentum builds.

For senior producers, a transition plan should cover client communication, insurer introductions, handover timing and the treatment of open claims. Clients notice disruption quickly, particularly in complex commercial programmes. A poorly managed move can damage goodwill that has taken years to establish.

## Individual appointment or corporate authorised representative?

An individual appointment can be straightforward where the broker is effectively joining a licence holder's existing business structure. It may suit someone who values support and does not intend to employ people or build a separately branded enterprise in the near term.

A corporate authorised representative structure is more commonly considered by brokers building a business with its own identity, revenue stream and team. It may offer a clearer vehicle for employing staff, documenting ownership and planning for succession. It also introduces additional complexity around company governance, contracts, tax, insurance and the scope of authorities granted by the licence holder.

Neither option is inherently superior. A short-term solution can become expensive if it prevents the business from developing as planned.

## A strategic pathway, not merely a licence arrangement

For ambitious brokers, the authorised representative model can be a practical bridge between employment and full business ownership. It can provide a platform to prove a proposition, recruit carefully and build recurring income while operating within an established compliance environment.

It also needs to be treated as a partnership. The strongest outcomes occur when the broker brings a defined market opportunity and the AFSL holder contributes genuine infrastructure, insurer access, governance and strategic support. Where either side sees the arrangement as purely transactional, friction tends to emerge around control, revenue and growth.
